• Consulting: Healthcare IT consulting and digital transformation services

3. User Accounts and Registration

To use certain features of our services, you may need to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete registration information
• Updating your information to keep it current
• Notifying us immediately of any unauthorized access

We reserve the right to terminate accounts that violate these Terms or remain inactive for extended periods.

4. Software Licenses and Usage

4.2 Restrictions

You may not:

• Remove or alter any copyright notices or proprietary markings
• Transfer or sublicense the software without written consent
• Use the software for illegal or unauthorized purposes
• Share license keys or access credentials with unauthorized users
• Attempt to bypass security features or access controls

4.3 Data Ownership

You retain all rights to your data. We do not claim ownership of your patient data, business information, or any content you input into our software. You grant us a limited license to process this data solely for the purpose of providing our services.

5. Payment and Billing

5.1 Pricing

All prices are listed in Indian Rupees (₹) unless otherwise specified. Prices are subject to change with notice. Taxes and applicable fees will be added as required by law.

5.2 Payment Terms

• Payment is due according to the terms specified in your invoice or agreement
• Late payments may result in service suspension
• We accept bank transfers, UPI, and major credit/debit cards
• Annual subscriptions may offer discounted rates compared to monthly billing

5.3 Refund Policy

Software Products: Due to the digital nature of our products, refunds are provided only if technical issues cannot be resolved within 14 days of purchase.

Subscription Services: You may cancel your subscription at any time. Refunds for unused portions of annual subscriptions will be prorated minus any applicable processing fees.

6. Support and Maintenance

6.1 Included Support

All software licenses include:

• Email and phone support during business hours (9 AM - 7 PM IST)
• Software updates and security patches
• Access to online documentation and knowledge base
• Initial setup and configuration assistance

6.2 Response Times

• Critical Issues: Within 4 hours
• High Priority: Within 24 hours
• Standard Issues: Within 48 hours
• Feature Requests: Reviewed within 5 business days

7. Intellectual Property

All content on our website and within our software, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Ajos Digital Solutions or its content suppliers and is protected by Indian and international copyright laws.

You may not use, reproduce, distribute, or create derivative works from our content without express written permission.

8. Limitation of Liability

To the maximum extent permitted by law, Ajos Digital Solutions and its employees, directors, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Service interruptions due to circumstances beyond our control
• Third-party actions or content
• Any damages exceeding the amount you paid us in the past 12 months

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ajos Digital Solutions and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to:

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the services will immediately cease
• You must cease all use of the software and delete all copies
• We may delete your account and associated data
• Provisions that by their nature should survive termination shall survive

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Patna, India.

12. Dispute Resolution

If the dispute is not resolved informally, both parties agree to submit to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
